Terms of use
Plain terms for everyone who touches Paytron: the foundation that buys it, the donor who reads their feed, and the group that sends an update back. Written to be read, not skipped.

1. Who we are
Paytron is operated by Zero Point One Ventures Ltd, a company registered in England and Wales under company number 17398629. Our registered office is Collingwood Buildings, 38 Collingwood Street, Newcastle Upon Tyne, NE1 1JF. In these pages, "we", "us" and "our" mean Zero Point One Ventures Ltd.
Paytron is sold to UK community foundations. A foundation using it is our customer; its donors, its grantees and its staff are the people who use the product day to day. Where a document says something different applies to each of them, it says so.

2. These terms, and the agreement that comes before them
These terms cover the Paytron website and the product itself: the donor pages, the grantee link, the public fund pages and the staff area. By using any of them you accept these terms. If you do not, please stop using Paytron.
A foundation buying Paytron also signs a written agreement with us covering price, term, support and data processing. Where that agreement and these terms differ, that agreement wins for the foundation and its staff. It does not change the rights donors and grantees have under these terms or under the law.
3. What Paytron does, and what it does not do
Paytron shows a donor which grants their giving helped pay for, and lets the funded group send an update back. It reads records the foundation already keeps, works out each donor's share of a grant payment, and passes an update on once a named person at the foundation has approved it.
Paytron is a tool the foundation uses. It is not the charity, and in particular:
- We do not decide who gets a grant, how much, or whether a report is satisfactory. The foundation does.
- We do not hold your money. Card and bank payments are taken by our payment providers, and the funds go to the foundation. Card and bank details never reach Paytron.
- We do not give advice on tax, on Gift Aid or on charity law. Gift Aid figures Paytron prepares are for the foundation to check and to file.
- We do not write to donors or publish anything on our own initiative. Every message and every published page comes from an action taken by the foundation.
4. Getting in: accounts and links
Staff and donors sign in with a link sent to their email address. There is no password to choose or to lose. Anyone with the link can sign in as you until it is used or expires, so please do not forward it.
A funded group needs no account at all. It gets a personal link that lasts seven days and works on the first device that opens it. If the link reaches a second device, that device is offered a fresh one rather than someone else's draft. Ask the foundation for a new link whenever you need one.

5. Updates, photographs and video you send us
What a funded group writes, films and photographs stays theirs. By sending it through Paytron you give the foundation and us permission to store it and to show it, but only to the people covered by the sharing level you chose, and only for as long as that choice stands.
Before you send an update, please make sure that:
- everyone recognisable in a photograph or a video has agreed to appear, and that where a child is recognisable the person responsible for them has agreed;
- you have the right to share anything in it that somebody else made;
- it says nothing about a person that they would not want said, and nothing that would put anyone at risk.
Our acceptable use page sets out what may not be shared and how to report something that should not be there.
6. Consent, and changing your mind
An update is never shown beyond the level the group chose: foundation staff only, the fund's holders, the donors whose giving reached that grant, or the public. Anything flagged for safeguarding is held automatically, and can only be released by a named reviewer who records why.
A group can withdraw an update after sending it. The media comes down and it stops being shown, without waiting for anyone at the foundation to action it. Copies already downloaded or printed by somebody else are beyond our reach, which is a reason to think before sharing publicly.
7. Using Paytron properly
Use Paytron for what it is for. Do not attempt to reach another foundation's data, another person's account or another group's link, do not test our security without asking us first, do not copy the product or take data out of it in bulk, and do not use the site to send anything unlawful, abusive or misleading. The acceptable use page has the detail.
If you find a security problem, please tell us at [REPORT A PROBLEM EMAIL] before telling anyone else, and give us a reasonable time to fix it.
8. What we cannot promise
We work to keep Paytron available, and we will give reasonable notice of planned maintenance where we can. We cannot promise the service will be uninterrupted or free of faults, and we may change or withdraw features. The service levels a foundation is entitled to are set out in its own agreement with us: [SERVICE LEVEL].
Figures shown in Paytron come from the foundation's own records. We take care that the arithmetic is right, and each grant payment's shares are checked to add back to the payment exactly, but we are not responsible for the accuracy of the records the foundation puts in.
9. Our responsibility to you
Nothing in these terms limits our responsibility for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited under the law of England and Wales.
If you are a donor, a grantee or a visitor using Paytron for personal or charitable purposes rather than in the course of a business, you keep every right the law gives you as a consumer, and nothing here takes those away. We are responsible for loss you suffer that is a foreseeable result of our breaking these terms or failing to use reasonable care, and not for loss that is not foreseeable.
If you use Paytron in the course of a business, including a foundation and its staff, our responsibility to you is limited as set out in the agreement between us: [LIABILITY CAP]. We are not responsible to you for lost profits, lost business or lost goodwill.
10. Our own material
The Paytron name, the mark, the software and the wording of these pages belong to us or to the people we license them from. You may use the site and the product as these terms allow. You may not copy the software, take the design or use our name or mark without our written permission.
A foundation's own name, mark and records stay the foundation's. A funded group's words and media stay the group's.
11. Ending it
You can stop using Paytron whenever you like. A donor can close their account from their settings page. A foundation's agreement says how and when it can end its subscription.
We can suspend or withdraw access where somebody breaks these terms or the acceptable use page, where we are required to by law, or where there is a safeguarding risk. We will tell you why, unless the law stops us. Where the problem is one that can be put right, we will say what would put it right.
12. Complaints
If something has gone wrong, tell us at [CONTACT EMAIL] and we will look into it. If your complaint is about how a foundation has used your information, or about a grant decision, the foundation is the right place to start, and we will help it answer you.
Complaints about personal data can also go to the Information Commissioner's Office at ico.org.uk. Our privacy notice explains the rest of your rights.
13. Changes to these terms
We change these terms from time to time, for example when the product changes or the law does. The date at the top of this page tells you when they last changed. If a change matters to you, for example because it affects what we do with your information, we will tell the foundation and, where the change affects them directly, the donors and grantees concerned.
14. The law that applies
Paytron is operated from England. These terms, and any dispute arising out of them or out of your use of Paytron, are governed by the law of England and Wales.
The courts of England and Wales have jurisdiction. If you are a consumer living in Scotland or Northern Ireland, you can also bring proceedings in the courts of the nation you live in, and the law of that nation applies to you where it gives you protection English law does not.
